1. Introduction
These Terms of Use (“Terms”) govern access to and use of the Digital Training Academy Platform (“Platform”), a government-backed digital learning, administration and reporting platform established to facilitate nationwide digital skills development and educational access through partnerships with accredited educational technology providers including Coursera. These Terms constitute a legally binding agreement between the user and the Government authority responsible for the implementation and administration of the Platform. By accessing, registering on or using the Platform, users confirm that they have read, understood and agreed to be bound by these Terms. Users who do not agree must immediately discontinue access to and use of the Platform.
2. DEFINITIONS AND INTERPRETATION
For the purpose of these Terms:
“Administrator” means any authorised personnel, ministry, department, agency, implementation partner, contractor or official granted backend, operational, supervisory or administrative access to the Platform.
“Applicable Law” means all laws, regulations, directives, guidelines, policies and judicial decisions applicable within the Federal Republic of Nigeria relating to technology, data protection, cybersecurity, electronic communications, intellectual property, digital services and education.
“Content” includes all text, graphics, interfaces, software, databases, reports, dashboards, educational materials, videos, documentation, analytics and other materials accessible through the Platform.
“Coursera” means the third-party online learning provider integrated into the Platform for purposes of educational delivery and course access.
“Government” means the Federal Ministry of Education which is responsible for the implementation, supervision or administration of the Digital Training Academy Project.
“Learning Providers” means third-party educational institutions, technology providers, certification bodies or learning partners integrated into or accessible through the Platform.
“Personal Data” shall have the meaning assigned to it under the Nigeria Data Protection Act, 2023.
“Platform” means the Digital Training Academy website, applications, dashboards, portals, integrations, reporting systems, APIs and associated infrastructure.
“Services” means all learning, reporting, monitoring, administrative, analytical and related services made available through the Platform.
“User” means any learner, applicant, administrator, stakeholder, donor representative, government official or any other individual accessing or using the Platform.
“User Content” means any information, comments, feedback, assignments, survey responses, uploads, submissions or materials submitted by users through the Platform.
Unless the context otherwise requires:
- words importing the singular include the plural and vice versa;
- references to persons include natural persons, corporate entities, governmental authorities and organisations;
- headings are inserted for convenience only and shall not affect interpretation;
- references to statutes include amendments, reenactments and subsidiary legislation.
3. ELIGIBILITY
Users may only access or use the Platform where they:
- possess the legal capacity to enter into binding agreements;
- provide accurate, current and complete registration information;
- comply with all applicable laws and regulations;
- satisfy any eligibility requirements applicable to specific programs, cohorts or learning opportunities.
Where users are minors or otherwise lack full legal capacity, access to the Platform is subject to verifiable parental, guardian, institutional or governmental authorisation, which must be obtained prior to registration. The Government reserves the right to deny, restrict or revoke access where eligibility requirements are not satisfied or where misrepresentation is identified.
4. USER REGISTRATION AND ACCOUNTS
Users may be required to create accounts and provide personal information to access the Services. Users agree to:
- provide accurate, complete and current information;
- maintain the confidentiality and security of login credentials;
- immediately notify the Platform of unauthorized access or suspicious account activity;
- ensure that account access is not shared with unauthorized persons;
- remain responsible for all activities conducted through their accounts.
The Government reserves the right to verify user identities and to suspend or terminate accounts where false information, impersonation, misuse or unauthorised activities are identified. Account registration does not guarantee access to any specific programme, cohort or certification.
5. PLATFORM SERVICES
The Platform provides:
- provide accurate, complete and current information;
- maintain the confidentiality and security of login credentials;
- immediately notify the Platform of unauthorized access or suspicious account activity;
- ensure that account access is not shared with unauthorized persons;
- remain responsible for all activities conducted through their accounts.
The Government reserves the right to modify, suspend, restrict or discontinue any aspect of the Services at any time. Where material changes to Services are planned, the Government shall endeavour to provide reasonable advance notice through the Platform. The Government does not guarantee uninterrupted access, platform availability, certification outcomes, employability, commercial benefits or specific educational results from use of the Platform.
6. ACCEPTABLE USE
Users shall not:
- use the Platform for unlawful, fraudulent or malicious purposes
- attempt unauthorised access to systems, databases, APIs, dashboards or user accounts
- interfere with platform operations, security measures or infrastructure
- upload malware, malicious code or harmful content
- engage in harassment, abuse, discriminatory conduct or misinformation
- impersonate another person, institution or entity
- misuse certificates, reports, credentials or learning records
- scrape, extract, reproduce or commercially exploit Platform content without authorisation
- use automated tools, bots or scripts in a manner that disrupts platform operations
- circumvent access restrictions or security controls
Violation of this Section may result in immediate suspension or termination of access, regulatory referral, civil proceedings or criminal liability under applicable law.
7. USER OBLIGATIONS
Users agree to:
- comply with these Terms and all applicable laws
- maintain the confidentiality of their credentials
- provide truthful and accurate information
- cooperate with reasonable verification and compliance processes
- use the Platform responsibly and in good faith
- immediately report security incidents, vulnerabilities or unauthorised activities using the contact details herein
Users acknowledge that misuse of the Platform may result in suspension, termination, regulatory reporting, legal proceedings or criminal liability.
8. USER CONTENT AND SUBMISSIONS
Where users upload or submit User Content through the Platform, they grant the Government and authorised implementation partners a non-exclusive, royalty-free license to use, process, reproduce, store and display such content strictly for educational administration, monitoring, evaluation, reporting, research and programme improvement purposes.
This license shall remain in effect for the period necessary to fulfil those purposes unless the user withdraws consent or exercises an applicable right under the Privacy Policy, in which case the Data Controller shall process any associated data deletion or restriction request in accordance with the NDPA.
Users warrant that submitted User Content:
- does not infringe third-party rights
- is not unlawful, misleading or harmful
- does not contain malicious software or unauthorised materials
- complies with Applicable Law
The Government reserves the right to review, remove, restrict or disable User Content that violates these Terms or Applicable Law, without prior notice.
9. INTELLECTUAL PROPERTY
All rights, title and interest in and to the Platform, including software, source code, interfaces, databases, reports, dashboards, graphics, branding, documentation and Content, shall remain vested in the Government, its licensors or authorised third parties.
Third-party educational materials and learning resources, including Coursera content, shall remain the intellectual property of their respective owners and are subject to the terms and licenses applicable to those providers.
Users are granted a limited, revocable, non-exclusive and non-transferable right to access and use the Platform strictly for authorised educational and administrative purposes. Except as expressly authorised, users shall not reproduce, distribute, modify, reverse engineer, commercially exploit or create derivative works from Platform Content.
10. PRIVACY AND DATA PROTECTION
Use of the Platform is subject to the applicable Privacy Policy, which forms part of the agreement between the user and the Government and is incorporated into these Terms by reference.
Users acknowledge that personal data may be processed for:
- program administration
- identity verification
- learning delivery and reporting
- analytics and monitoring
- cybersecurity and fraud prevention
- compliance and regulatory obligations
The Government shall process personal data in accordance with the Nigeria Data Protection Act, 2023, the Nigeria Data Protection General Application and Implementation Directive, 2025 and other Applicable Laws.
11. THIRD-PARTY SERVICES AND INTEGRATIONS
The Platform may integrate with third-party systems and service providers including Coursera, cloud hosting providers, analytics vendors, communication providers and verification partners.
Users acknowledge that:
- access to third-party services may be subject to separate contractual terms and policies
- the Government does not control third-party systems or services
- availability of third-party services may change without notice
- the Government shall not be responsible for interruptions, inaccuracies or failures attributable to third-party systems
Users are encouraged to review the terms and privacy policies of any third-party services accessed through or in connection with the Platform.
12. MONITORING, AUDIT AND SECURITY RIGHTS
The Government reserves the right to monitor platform usage, activities, access logs, transactions and operational data for purposes including security, compliance, fraud prevention, operational integrity, audit and accountability, regulatory reporting and performance optimisation.
Users acknowledge that the Platform operates in a government-administered environment and that monitoring may be conducted in accordance with applicable law. Unauthorised or suspicious activities identified through monitoring may be investigated and reported to competent authorities.
13. SUSPENSION AND TERMINATION
The Government reserves the right to suspend, restrict or terminate user access without prior notice where:
Users acknowledge that:
- these Terms are breached
- unlawful or unauthorized activities are suspected
- security or operational risks arise
- user conduct threatens the integrity, security or reputation of the Platform
- required eligibility or verification conditions are no longer satisfied.
Where access is suspended or terminated, the Government shall, where practicable, provide the user with reasons and an opportunity to respond, unless doing so would compromise security, investigation integrity or legal obligations. Termination or suspension shall not affect any rights, liabilities or obligations accrued prior to the date of termination or suspension.
14. DISCLAIMERS
The Platform and all Services are provided on an “as is” and “as available” basis. To the fullest extent permitted under Applicable Law, the Government disclaims all warranties, whether express, implied or statutory, including warranties relating to:
- merchantability;
- fitness for a particular purpose;
- uninterrupted access or availability;
- accuracy, reliability or completeness of Content;
- compatibility with user devices or systems;
- educational, professional or commercial outcomes.
Nothing in this Section shall be construed to limit any rights that cannot lawfully be excluded under Nigerian law. The Government does not guarantee specific educational, professional or commercial outcomes arising from use of the Platform.
Users acknowledge that the Platform operates as a digital public infrastructure. Where the Platform is unavailable due to maintenance, security events or other operational requirements, the Government shall endeavour to provide reasonable notice where practicable.
15. LIMITATION OF LIABILITY
To the fullest extent permitted by Applicable Law, the Government, implementation partners, contractors, licensors, affiliates and service providers shall not be liable for:
- indirect, incidental, punitive or consequential damages;
- loss of profits, opportunities, goodwill or data;
- system interruptions, downtime or cyber incidents;
- unauthorised access resulting from user negligence;
- reliance on third-party services or content;
- inaccuracies, delays or failures outside reasonable control.
Nothing in this Section shall limit or exclude liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot lawfully be excluded or limited under Applicable Law.
16. INDEMNITY
Users agree to indemnify and hold harmless the Government, implementation partners, contractors, licensors, affiliates and service providers from and against all claims, actions, liabilities, losses, damages, costs and expenses arising from:
- breach of these Terms;
- misuse of the Platform;
- violation of Applicable Law;
- infringement of intellectual property or third-party rights;
- unauthorised or unlawful activities conducted through user accounts.
17. FORCE MAJEURE
The Government shall not be liable for delays, interruptions or failures resulting from events beyond reasonable control including acts of God, cyberattacks, telecommunications failures, infrastructure disruptions, governmental actions, labour disputes, epidemics, natural disasters or security incidents. For the avoidance of doubt, cyberattacks and cybersecurity incidents are foreseeable risks associated with the operation of any digital platform and shall not constitute force majeure events unless directly caused by factors entirely outside the Government’s reasonable control and not attributable to any failure to implement reasonable security measures. The Government shall notify affected users as soon as reasonably practicable of any force majeure event affecting service delivery and shall use reasonable efforts to resume normal operations without undue delay.
18. MODIFICATIONS TO THE PLATFORM AND TERMS
The Government reserves the right to:
- modify Platform features and functionality;
- revise operational processes;
- suspend or discontinue Services;
- update learning offerings;
- amend these Terms.
For non-material updates, revised Terms shall become effective upon publication on the Platform. For material amendments that significantly affect users' rights or obligations, the Government shall provide at least 30 days' prior notice through the Platform or via registered email before the revised Terms take effect. Users will be required to confirm acceptance of material changes upon their next login following the effective date. Continued use of the Platform following the effective date of any revised Terms constitutes acceptance of those Terms. Users who do not accept material changes must discontinue use of the Platform.
19. GOVERNING LAW
The Government reserves the right to:
- modify Platform features and functionality;
- revise operational processes;
- suspend or discontinue Services;
- update learning offerings;
- amend these Terms.
For non-material updates, revised Terms shall become effective upon publication on the Platform. For material amendments that significantly affect users' rights or obligations, the Government shall provide at least 30 days' prior notice through the Platform or via registered email before the revised Terms take effect. Users will be required to confirm acceptance of material changes upon their next login following the effective date. Continued use of the Platform following the effective date of any revised Terms constitutes acceptance of those Terms. Users who do not accept material changes must discontinue use of the Platform.
20. DISPUTE RESOLUTION
Any dispute arising from or relating to these Terms shall first be resolved through good faith negotiations within 30 days of written notice of the dispute.
Where the dispute is not resolved through negotiation within the 30-day period, it shall be referred to mediation administered by a mutually agreed mediator or a recognised mediation institution in Nigeria, in accordance with the Arbitration and Mediation Act, 2023.
Where mediation fails or is refused, the dispute shall be finally resolved by arbitration in accordance with the Arbitration and Mediation Act, 2023, administered by the Arbitral Institution with jurisdiction to hear the matter. The seat of arbitration shall be Abuja, Federal Capital Territory, Nigeria. The language of proceedings shall be English. The arbitral tribunal shall consist of three arbitrators.
Nothing in these Terms shall prevent either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction in Nigeria before or during arbitration proceedings. Any such application shall not constitute a waiver of the right to arbitration.
Disputes relating exclusively to the processing of personal data may be referred directly to the Nigeria Data Protection Commission, in accordance with the NDPA, in addition to or instead of the dispute resolution mechanism above.
21. ENTIRE AGREEMENT
These Terms, together with the applicable Privacy Policy and any additional operational policies or guidelines issued by the Platform, constitute the entire agreement between users and the Government governing access to and use of the Platform and supersede all prior representations, understandings or agreements relating to the same subject matter
